What is a Real Estate LLC?

A real estate LLC is a company formed to purchase, own, manage, lease, or sell real estate. The LLC becomes the legal owner of the property, while the investor owns a membership interest in the company.

A real estate LLC can have one owner or multiple owners. Its operating agreement will often establish each member’s ownership percentage, financial contributions, management responsibilities, voting rights, and share of profits and losses. The LLC may be formed in the state where the property is located or in another state, such as Delaware, although additional registration requirements may apply.

Would there be any restriction of a Delware Real Estate Investment LLC investing in properties in Massactusus, New Hampshire, Main, and New York? How many shareholders can you have and are there any restrictions/requirements for International shareholders including banking and funding?

Often, our clients have to obtain foreign qualification in any state in which their Delaware company owns property. An LLC does not have shareholders, but rather members, who can live anywhere in the world and can stipulate their ownership interest and responsibilities in the LLC's operating agreement. Any questions about banking restrictions would depend on the policy of the individual bank.
